Craft Collective Terms and Conditions

Welcome to Craft Collective! These Terms of Service ("Terms") govern your access to and use of the websites located at https://niagaracraftcollective.ca and https://craftshops.ca (collectively, the "Websites"), the Craft Collective Member Portal (the "Portal"), and any associated services, features, or content provided by Craft Collective (referred to as "Craft Collective," "we," "us," or "our").

By accessing our Websites, registering for an account, booking studio time, or listing items on our marketplace, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Websites, Portal, or services.

1. Operating Jurisdiction & Governing Law

Craft Collective operates out of Niagara Falls, Ontario, Canada. These Terms, your use of the Websites, and any disputes arising from them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding relating to your access to, or use of, the Websites or Portal shall be instituted in a provincial or federal court in Ontario.

2. Eligibility & Account Registration

  • Age Requirements: There is no age restriction to browse our public Websites. However, registration of paid memberships, booking studio equipment, and opening a vendor shop on craftshops.ca are strictly limited to individuals who are at least 18 years of age or have explicit parental/guardian consent.
  • Account Security: When you create an account in our Portal, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
  • Account Termination: We reserve the right to suspend or terminate your account, membership, or marketplace store at our sole discretion, without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to other users, our staff, or our physical or digital property.

3. The craftshops.ca Marketplace & Vendor Terms

Craft Collective operates craftshops.ca as an online marketplace platform that allows independent vendors to list and sell handmade goods, crafts, and materials.

  • Our Role as a Facilitator: Craft Collective acts strictly as a platform provider and local facilitator. We facilitate the website pipeline and digital transactions, but we are not the seller of the vendor’s items. We do not control, endorse, or assume liability for the quality, safety, legality, or delivery of any items listed by independent vendors.
  • Vendor Responsibilities: If you register as a seller on craftshops.ca, you represent and warrant that:You own or have the rights to sell all items you list.Your product listings, descriptions, and images are accurate and not misleading.You are solely responsible for setting your own pricing, ensuring your goods are securely and professionally packaged, and handling any customer service inquiries or disputes related to your items.You are responsible for any provincial or federal taxes (HST/GST) applicable to your sales.
    • You own or have the rights to sell all items you list.
    • Your product listings, descriptions, and images are accurate and not misleading.
    • You are solely responsible for setting your own pricing, ensuring your goods are securely and professionally packaged, and handling any customer service inquiries or disputes related to your items.
    • You are responsible for any provincial or federal taxes (HST/GST) applicable to your sales.
  • The Studio Drop-off Depot: To assist local makers and buyers, Craft Collective provides a coordinated physical drop-off and pickup service at our studio located at 4675 Queen Street.Our Role as a Depot: Craft Collective acts solely as a secure storage and pickup point. We do not package your items, inspect their contents for quality, or manage shipping logistics outside of facilitating this local pickup depot.Drop-off Protocols: Vendors must drop off sold items during our designated studio hours. All items brought to the depot must be fully, securely, and professionally packaged by the vendor, and clearly labeled with the customer's name and order number.Depot Liability: Craft Collective is not liable for items damaged during transit, damaged due to improper or fragile packaging by the vendor, or left unclaimed at our depot beyond our designated holding period.
    • Our Role as a Depot: Craft Collective acts solely as a secure storage and pickup point. We do not package your items, inspect their contents for quality, or manage shipping logistics outside of facilitating this local pickup depot.
    • Drop-off Protocols: Vendors must drop off sold items during our designated studio hours. All items brought to the depot must be fully, securely, and professionally packaged by the vendor, and clearly labeled with the customer's name and order number.
    • Depot Liability: Craft Collective is not liable for items damaged during transit, damaged due to improper or fragile packaging by the vendor, or left unclaimed at our depot beyond our designated holding period.
  • Payment Processing & Payouts (Stripe Connect):Payment processing services for our marketplace and portal are provided by Stripe and are subject to the Stripe Connected Account Agreement. By selling on our platform, you agree to Stripe’s terms and authorize us to share transaction data with Stripe to facilitate your direct payouts.Vendor payouts are typically calculated and deposited directly to your connected bank account on Mondays, subject to Stripe processing times and any platform fees in effect at the time of sale.We reserve the right to hold payouts or reverse transactions in the event of suspected fraud, customer disputes, or chargebacks.

4. Web Hosting & System Dependencies

Our Websites and Portal are hosted on our self-administered account with Web Hosting Canada, utilizing AWS SES (Amazon Web Services Simple Email Service) for transactional and promotional communications.

  • Service Availability: While we strive to maintain consistent website uptime, we do not guarantee that our Websites, Portal, or marketplace will be secure, uninterrupted, or error-free at all times.
  • Maintenance & Downtime: We reserve the right to take our digital systems offline temporarily for scheduled maintenance, updates, or emergency repairs. Craft Collective is not liable for any lost revenue, transactional disruptions, or business delays caused by system downtime.

5. Offline Studio Integration & Waivers

  • Physical vs. Digital Rules: The Portal allows you to register for memberships, purchase event tickets, and book equipment. However, booking a session digitally does not grant automatic physical entry to the studio.
  • Safety Waivers: To utilize the physical studio space or equipment at 4675 Queen Street, you must sign a physical or digital Liability Waiver and complete any required in-person safety orientation. Physical access to the studio is strictly contingent upon compliance with our physical house rules and safety guidelines.

6. Intellectual Property

  • Our Content: All content, designs, logos, graphics, text, software, and code displayed on the Websites and within the Portal are the exclusive property of Craft Collective or its licensors and are protected by Canadian and international copyright, trademark, and intellectual property laws.
  • User-Generated Content: When you upload images, text, product listings, or logo designs to the Portal or craftshops.ca, you retain ownership of your intellectual property. However, you grant Craft Collective a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote your listed items on our Websites and social media channels for marketing purposes.

7. Prohibited Uses of the Websites

You agree not to use our Websites or Portal to:

  • Violate any local, provincial, national, or international laws.
  • Reverse-engineer, scrape, copy, or attempt to extract the source code of our self-hosted databases, Portal, or marketplace systems.
  • Upload or distribute viruses, malware, Trojan horses, or any other malicious digital files designed to disrupt our hosting services.
  • Impersonate any person or entity, or misrepresent your affiliation with Craft Collective.

8. Limitation of Liability & Indemnification

  • Limitation of Liability: To the maximum extent permitted by law, Craft Collective, its directors, officers, employees, and founders (including Samantha) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or other intangible losses, resulting from:Your access to or use of (or inability to access or use) the Websites, Portal, or marketplace.Any conduct or content of any third-party or vendor on our platform.Any server outages or digital disruptions associated with Web Hosting Canada, Stripe, or AWS SES.

  • Indemnification: You agree to defend, indemnify, and hold harmless Craft Collective and its representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Websites, your violation of these Terms, or your infringement of any third-party rights (including intellectual property or privacy rights).

9. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will indicate the date of the latest update at the top of this document. For material changes, we will notify registered users via an announcement inside the Portal or an email sent through AWS SES. Continued use of our Websites and Portal following the posting of changes constitutes your binding acceptance of those changes.
